These Terms of Service ("these Terms") set out the conditions for using the AI survey creation and analysis service "Repoan" ("the Service") provided by KOIYAL Inc. ("we," "us," or "the Company"). By using the Service, you ("the User") are deemed to have agreed to these Terms.

Article 1 (Definitions)

1. "User" means an individual or legal entity who has agreed to these Terms and registered an account for the Service.
2. "Respondent" means a person who responds to a survey created by a User (no account required).
3. "Guest user" means a person who has been granted viewing permission for a specific survey by a User.
4. "Group" means an organizational unit created by a User within the Service.
5. "Content" means survey questions, response data, reports, and any other data created or entered by a User on the Service.
6. "Embedded form" means a survey response screen embedded in an external website via iframe, JS widget, or similar.
7. "API" means the program-to-program interface provided by the Service.
8. "Webhook" means a feature that automatically sends data to an external URL specified by the User when a specific event occurs.

Article 2 (Application of these Terms)

1. These Terms apply to all relationships between Users and us concerning the use of the Service.
2. Guidelines, help documents, and other materials we may publish concerning the Service form part of these Terms.
3. If these Terms and individual provisions conflict, the individual provisions take precedence.

Article 3 (Account registration)

1. Anyone who wishes to use the Service must register using a method designated by us (Google sign-in or email/password).
2. We may refuse registration if an applicant:
   • has submitted false information,
   • has previously violated these Terms, or
   • is otherwise deemed inappropriate for registration in our judgment.
3. Users must promptly update their registered information if it changes.

Article 4 (Account management)

1. Users are responsible for managing their own accounts.
2. Users must not transfer, lend, or share their account with any third party.
3. We are not liable for any damages arising from unauthorized use of an account.

Article 5 (Service features)

The Service provides the following features.

1. AI survey creation: Automatic generation of survey questions through dialogue with AI
2. Survey distribution and response collection: Collecting and storing responses through web forms
3. AI analysis and report generation: AI-based analysis of response data and automatic report generation
4. Data management: Viewing, aggregating, and exporting (CSV) response data
5. Embedded forms: Embedding survey forms in external websites
6. API and webhook integration: Data integration with external systems
7. Shared reports: Issuing external sharing URLs for analysis reports
8. Guest invitations: Guest access to specific surveys with viewing permissions

Article 6 (Fees and payment)

1. The Service offers a free plan and a paid plan (Pro plan). The features and fees of each plan are as set out on the pricing page.
2. Fees for the paid plan are payable by credit card via the payment system provided by Stripe, Inc.
3. For monthly billing, payment is automatically charged each month; for annual billing, each year.
4. If a User cancels during a free trial period, no charges will be incurred.
5. Due to the nature of digital services, we do not refund fees that have already been paid. After cancellation, the User can continue to use the Service until the end of the current billing period. This excludes refunds in cases where the Service is terminated by us under Article 17(4).
6. If we revise the fees for the paid plan, we will notify Users at least 30 days before the revision by email to the registered email address or by an announcement within the Service. The revised fees apply to payments processed on or after the next renewal date.

Article 7 (Rights to Content)

1. Intellectual property rights to Content created or entered by a User on the Service belong to the User.
2. Ownership of response data belongs to the User (or the Group they belong to) who created the relevant survey.
3. We use User Content only to the extent necessary to provide and operate the Service.
4. Users may freely use questions, analysis results, and reports generated by AI. However, we do not guarantee the accuracy or completeness of AI output.

Article 8 (Use of AI)

1. The Service uses AI technology for tasks such as question generation, response analysis, and report creation.
2. User data is never used to train AI models (zero-retention policy).
3. AI output is informational. We do not guarantee its accuracy, lawfulness, or fitness for a particular purpose.
4. If a User uses AI output, they do so at their own discretion and responsibility.

Article 9 (Data storage and deletion)

1. Data storage: User Content and response data are securely stored in our database.
2. Soft delete: When a User deletes data, the data is immediately hidden from the UI but kept in a restorable state for 30 days.
3. Hard delete: Data that has been in soft-delete state for 30 days is automatically and permanently deleted, becoming unrecoverable. Related files (images, PDFs, etc.) are also deleted at the same time.
4. Account closure: When an account is closed, all data associated with that account is soft-deleted and hard-deleted 30 days later.
5. Export: Users are responsible for exporting any data they need before hard deletion is performed.

Article 10 (Use of embedded forms)

1. Users may embed survey forms on websites under their control using the iframe tag or JS widget provided by us.
2. Response data collected through embedded forms is managed by us in accordance with these Terms and the Privacy Policy.
3. Users are responsible for appropriately notifying respondents on the embedding website that data is being collected by the Service.
4. Customization of the design of embedded forms (hiding the logo, changing the theme color, etc.) is available depending on the plan.

Article 11 (Use of API and webhook integrations)

1. Users may integrate with external systems using the API and webhook features provided by us.
2. Users are responsible for managing their API keys. If a key is leaked to a third party, Users must promptly reissue it.
3. API usage is subject to per-plan request limits.
4. The handling of data sent externally via webhooks is the User's responsibility at the destination.
5. We will use reasonable efforts to provide an appropriate advance-notice period before making changes to the API specification.

Article 12 (Shared report URLs)

1. Users may issue view-only URLs for AI analysis reports and share them with third parties.
2. Anyone who knows the shared URL can view the report without authentication. The User is responsible for managing the shared URL.
3. Users may disable a shared URL at any time.

Article 13 (Guest invitations)

1. Users may invite guests to a specific survey by individually granting the following viewing permissions:
   • View questions: Permission to view the survey's questions
   • View responses: Permission to view collected response data
   • View reports: Permission to view AI analysis reports
2. Guest users access the Service by creating a free guest account. These Terms apply equally to guest users.
3. The inviting User may change or revoke the permissions granted to a guest at any time.

Article 14 (Prohibited actions)

When using the Service, Users must not engage in any of the following actions.

1. Acts that violate laws or public order and morals
2. Acts related to criminal activity
3. Acts that place an excessive load on the Service's servers or network
4. Acts that interfere with the operation of the Service
5. Unlawfully collecting or storing personal information of other users
6. Impersonating other users
7. Infringing our intellectual property rights or those of third parties
8. Using the Service for unauthorized commercial activities or sending spam
9. Using the API or webhooks for attacks (DDoS, etc.)
10. Creating forms intended to deceive respondents
11. Any other act we deem inappropriate

Article 15 (Exclusion of antisocial forces)

1. The User represents and warrants that they currently are not, and will not in the future be, a member of an organized crime group ("boryokudan"), a member who has not yet been five years free from being a boryokudan member, a quasi-member of a boryokudan, a boryokudan-related enterprise, a corporate racketeer ("sokaiya"), a social-cause-pretending criminal group, or any other person akin to the foregoing (collectively, "antisocial forces"), and that none of the following applies:
   • Having a relationship in which antisocial forces are recognized as controlling management,
   • Having a relationship in which antisocial forces are recognized as substantively involved in management,
   • Having a relationship in which antisocial forces are used for the purpose of obtaining unjust benefit for oneself, one's company, or a third party, or causing damage to a third party,
   • Having a relationship recognized as providing funds, etc., or rendering convenience to antisocial forces, or
   • Having a relationship in which an officer or person substantively involved in management has a socially objectionable relationship with antisocial forces.
2. The User undertakes that they will not, by themselves or through a third party, engage in violent demands, unreasonable demands beyond legal responsibility, conduct threatening or violent in connection with the transaction, conduct that damages our reputation or interferes with our business by spreading false rumors or using deception or force, or any other conduct akin to the foregoing.
3. If the User violates the preceding paragraphs, we may immediately terminate any agreement based on these Terms without notice and cancel the account registration. We are not responsible for any damages incurred by the User as a result.

Article 16 (Usage restrictions and removal of registration)

1. If a User violates these Terms, we may restrict use or cancel the account registration without prior notice.
2. We are not liable for any damages incurred by the User as a result of measures taken under this Article.

Article 17 (Changes, suspension, and termination of the Service)

1. Minor changes and temporary suspension: We may make minor feature changes, temporarily suspend the Service for maintenance, or perform emergency security responses without prior notice.
2. Material changes: If we discontinue a material feature of the Service or make changes that materially disadvantage Users, we will, as a general rule, notify Users at least 30 days before the change by email to the registered email address or by an announcement within the Service.
3. Service termination: If we terminate the Service, we will notify Users at least 60 days before the termination date (or at least 90 days for paid-plan subscribers) by email to the registered email address and by an announcement within the Service. Users may export their data until the termination date (or until any later date we may separately designate).
4. Refund on termination by us: If we terminate the paid plan for reasons attributable to us, we will refund any unused portion of fees already paid by the User on a pro-rata basis. This does not apply where termination is caused by the User's breach of these Terms, or to the free plan.
5. We are not liable for damages incurred by Users as a result of measures taken under this Article beyond the scope set out in Article 19.

Article 18 (Service level)

1. We endeavor to provide the Service stably but do not guarantee its availability rate.
2. Users acknowledge that the Service may temporarily become unavailable due to scheduled maintenance, emergency maintenance, failure of external services (cloud infrastructure, payments, AI, identity, email delivery, etc.), failure of communication lines, natural disasters, or other force majeure events.
3. We are not liable for damages arising from suspension, delays, inability to transmit or receive data, data loss, or any other matter related to the Service beyond the scope set out in Article 19.
4. Features expressly designated as beta or trial may be changed or discontinued at any time. We are not liable for any damages arising from the use of such features.

Article 19 (Disclaimer and limitation of liability)

1. We do not warrant that the Service is free from defects in fact or in law (including defects, errors, bugs, or infringements concerning safety, reliability, accuracy, completeness, validity, fitness for a particular purpose, or security).
2. If we are liable to a User for damages, the scope of compensation is limited to ordinary, direct, and actual damages with a reasonable causal connection to our default or tort. We are not liable for special damages, indirect damages, incidental damages, consequential damages, lost profits, damages arising from data loss or corruption, damages arising from third-party claims, lost business opportunities, or other similar damages, whether or not foreseen.
3. Notwithstanding the preceding paragraph, where we are liable to a User for damages, the amount is limited to the total fees paid by that User to us for the Service during the 12-month period immediately preceding the occurrence of the damages. If the User is on the free plan or if the total paid during that period is less than 1,000 yen, the cap is 1,000 yen.
4. The limitations in paragraphs 2 and 3 of this Article do not apply where we have acted with willful misconduct or gross negligence.
5. Where the User is a consumer within the meaning of the Consumer Contract Act, provisions of these Terms that exempt or limit our liability and that violate the Consumer Contract Act or other mandatory law are effective only to the extent they do not violate such mandatory law.

Article 20 (Indemnification by Users)

1. If, as a result of or in connection with a User's breach of these Terms, we receive a claim, lawsuit, complaint, recommendation, investigation, administrative measure, or other action from a third party (including respondents, guest users, rights holders, or government authorities), the User shall resolve the matter at their own cost and responsibility, and shall indemnify us for any damages we incur (including reasonable attorneys' fees, response costs, settlement amounts, compensation, and penalties).
2. In such cases, we may at our option either hand the matter over to the User for resolution or handle the matter ourselves and charge the costs to the User.

Article 21 (Confidentiality)

Users must not disclose or leak our technical or business confidential information learned in connection with the use of the Service to any third party without our prior written consent.

Article 22 (Handling of personal information)

The handling of personal information is governed by our separately established Privacy Policy.

Article 23 (Changes to these Terms)

1. We may change these Terms in accordance with Article 548-4 of the Civil Code of Japan.
2. Minor changes: Corrections of typos, rewording, and changes that do not substantially restrict User rights take effect when the revised Terms are posted on this page.
3. Material changes: For changes that materially affect User rights or obligations (fundamental changes to the fee structure, changes to the scope of liability, changes that impose new obligations on Users, etc.), we will notify Users of the content of the change and the effective date at least 30 days before the effective date by email to the registered email address or by an announcement within the Service.
4. If, after the notice in the preceding paragraph, a User does not close their account before the effective date or uses the Service on or after the effective date, the User is deemed to have agreed to the amended Terms.

Article 24 (Assignment of position)

1. Users may not assign, transfer, pledge, or otherwise dispose of their position under these Terms or their rights or obligations under these Terms to any third party without our prior written consent.
2. If we transfer the business related to the Service to a third party (including business transfers, corporate splits, mergers, or any other method involving the transfer of the business), we may transfer to the transferee our position under these Terms, the rights and obligations under these Terms, and the User's registration information and Content, and the User hereby consents to such transfer in advance.

Article 25 (Governing law and jurisdiction)

1. These Terms are governed by and interpreted in accordance with the laws of Japan.
2. Any dispute arising in connection with the Service is subject to the exclusive jurisdiction of the Niigata District Court as the court of first instance.

Article 26 (Resolution by consultation)

For matters not provided for in these Terms or where doubts arise as to the interpretation of these Terms, the Company and the User shall consult in good faith to resolve the matter.
